8、ic co-operation alliance. 一、 合作領(lǐng)域 Co-operation Domain 甲乙雙方擬在以下方面進(jìn)行合作〔包括但不限于以下方面〕： Party A and Party B have agreed on the following co-operation (including but not limited to below stated items) 1、 上市融資：甲方為乙方輸送中國(guó)企業(yè)在英國(guó)證券市場(chǎng)上市〔包括主板和創(chuàng)業(yè)板市場(chǎng)〕； IPO Equity Financing : Party A will introduce the pote

9、ntial China Corporations to Party B for IPO in UK Stock Market (including Main Board and GEM Board). 2、 私募融資：乙方為甲方輸送的中國(guó)企業(yè)在英國(guó)境內(nèi)進(jìn)行私募融資； Private Equity Fund Financing : Party B will introduce the UK Private Equity Fund to Party A for potential China Corporation. 3、 企業(yè)效勞：乙方為甲方輸送的中國(guó)企業(yè)提供在英國(guó)的分支以及獨(dú)立機(jī)構(gòu)注冊(cè)

10、及其管理效勞，甲方為乙方輸送的英國(guó)企業(yè)提供在中國(guó)的分支以及獨(dú)立機(jī)構(gòu)注冊(cè)及管理效勞； Corporation Services : Party B will provide company registration and management services in UK to Party A’s introduced China Corporation who intends to setup the subsidiary company, branch office or independent corporation in UK. Party A will provide same s

11、ort of services in PRC to Party’s introduced UK Corporation who intends to setup the business entity or office in PRC. 4、 文化經(jīng)濟(jì)交流：甲乙雙方共同組織主辦在中國(guó)以及英國(guó)境內(nèi)的各種金融投資、文化經(jīng)濟(jì)交流活動(dòng)以及國(guó)際間招商引資活動(dòng)。 Cultural and Economical Exchange Program : Party A and Party B will co-operate to organize various activities in UK an

12、d PRC for Financial Investment, Cultural and Economical Exchange Program and International-wise Business Development Conference. 二、 合作方式 Manner of Co-operation 1、 乙方授權(quán)甲方為其在中國(guó)境內(nèi)的代表機(jī)構(gòu)，負(fù)責(zé)乙方在中國(guó)的合作工程及相關(guān)事務(wù)。 Party B authorized Party A to act as the Representation Agent of Party B in Mainland China to

13、 perform the co-operation business. 2、 甲方授權(quán)乙方為其在英國(guó)境內(nèi)的代表機(jī)構(gòu)，負(fù)責(zé)甲方在英國(guó)及國(guó)際的合作工程及相關(guān)事務(wù)。 Party A authorized Party B to act as the Representation Agent of Party B in UK to perform the co-operation business. 3、 甲乙雙方為對(duì)方提供雙語(yǔ)翻譯1名，負(fù)責(zé)雙方日常事務(wù)的溝通交流； Both Parties will provide a bilingual translator for each other t

14、o take care both parties’ daily operation and communication matters. 4、 甲乙雙方互設(shè)辦事處及 轉(zhuǎn)、接聽(tīng)效勞。 Both Parties will establish their own representation office and provide call transfer and pick-up services. 5、 甲乙雙方共同建立高層定期溝通制度，保證各項(xiàng)工作的順利開(kāi)展. Both Parties will mutually develop periodical management comm

15、unication system to ensure smooth development of co-operation business. 6、 甲乙雙方各自認(rèn)定對(duì)方為其在對(duì)方所在國(guó)的戰(zhàn)略合作伙伴；為共同工程合作成功而努力。 Both Parties will recognize another party as the strategic partner in its own territory and strive for the successful on co-operation business. 7、 甲乙雙方同意，在本協(xié)議有效期內(nèi)，一方可以使用另一方所有合作工程中擁有合

16、法著作權(quán)或者合法授權(quán)的文字、音頻、圖像等資源，如果一方在其網(wǎng)站上使用另一方這些內(nèi)容時(shí)，該方須標(biāo)明內(nèi)容來(lái)自另一方。 Both Parties agreed, in this agreement validity period, one party can use another party’s legally licensed documents and legally authorized wordings, sound tracks and pictures, etc, resources. If another party uses these kind of resources in

17、her own website, the source of information should be clearly stated. 8、 涉及商務(wù)考察和工程運(yùn)作費(fèi)用，以及利潤(rùn)分配等方面，甲乙雙方可通過(guò)簽定具體工程合同予以解決。 Regarding the expenses and profit sharing for the Business Investigation program and specific co-operation project, both parties will resolve it in another agreement. 三、 合作承諾： Co

18、-operation Commitment 1、 友好合作、緊密配合、互相尊重、互相學(xué)習(xí)為根底；認(rèn)可客觀中西文化差異性，吸收優(yōu)秀文化，謀求中西融合、和諧開(kāi)展。 Both Parties agreed the co-operation are built up on foundation of friendly co-operation, closely support, mutually respect and co-learning base. Both Parties will objectively recognize the Eastern and Western cultural

19、 difference, learning the best parts from each other, striking for the best harmonic development. 2、 工作縝密細(xì)致、老實(shí)守信、合法經(jīng)營(yíng)、各自承當(dāng)法律義務(wù)。 Both Parties agreed to work deliberately with integrity, operate legally and be responsible for individual’s own duty.\ 四、 甲乙雙方均認(rèn)可本協(xié)議是對(duì)雙方合作的一種框架性安排，涉及到具體工程再另行簽訂相關(guān)合同書(shū)

20、。 Both Parties fully recognize that this agreement only serves as a framework of co-operation. For the details of individual co-operation project, another independent agreement will be agreed and signed 五、 未盡事宜雙方協(xié)商解決。 For the matters not covering in this agreement, both parties will mutually d

21、iscuss . 六、 本協(xié)議有效期為5 年，從 2021 年4 月 1 日始至2021 年 3 月 30 日止。協(xié)議期滿，甲乙雙方另行協(xié)商續(xù)簽。 This Agreement is valid from to . Upon expiry, both Parties will discuss about the renewal issue. 七、 本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，簽字蓋章即具法律效力。 This Agreement is written in both Chinese and English language in two copies, each Party having one copy.
