2、 甲方： Party A: 乙方： 思力財(cái)稅咨詢(xún)服務(wù)（上海） 有限公司 Party B: Sili Financial Consulting (Shanghai ) Co., Ltd. 委托事由 Recitals 1. 甲方希望委托乙方代理甲方的會(huì)計(jì)和稅務(wù)工作； Party A wishes to entrust Party B as its accounting and tax agent. 2．乙方接受甲方的委托，根據(jù)《企業(yè)會(huì)計(jì)準(zhǔn)則》、《中華人民共和國(guó)外商投資企業(yè)會(huì)計(jì)制度》、《中華人民 共和國(guó)會(huì)計(jì)法》

3、及財(cái)政、稅務(wù)等有關(guān)法律、法規(guī)的規(guī)定，為甲方公司提供代理記賬、財(cái)稅咨詢(xún)和稅務(wù)申報(bào) 代理服務(wù)。 Party B agrees to act as Party A’s accounting and tax agent to provide bookkeeping, finance consulting and tax agency services to Party A in according with the terms and conditions set out in this Accounting Agent Engagement Agreement (hereinafter refe

4、rred to as “Agreement”) under Accounting Law of P.R. China and relevant rules and regulations. 1. 權(quán)限申明 Authority and Jurisdiction 1.1 甲方委托授權(quán)乙方完成下述協(xié)議條款2中所規(guī)定內(nèi)容（以下稱(chēng)“委托項(xiàng)目”），具體服務(wù)內(nèi)容見(jiàn)合同附件一。 Party A entrusts and authorizes Party B to act as its agent to accomplish the items set out in Article 2 belo

5、w (hereinafter referred to as “entrusted items”). Detailed service item describes in contract appendix I. 1.2 以上條款規(guī)定的委托和授權(quán)任何時(shí)候都不被視為是本協(xié)議雙方的合伙關(guān)系； The entrustment and authorization as stated in Article 1.1 above should not at any time be regarded as the partnership relationship between the parties of

6、 this Agreement. 1.3 本協(xié)議的條款、作用和解釋?zhuān)虮緟f(xié)議引發(fā)爭(zhēng)議的解決和本協(xié)議的執(zhí)行受中國(guó)人民共和國(guó)法律約束。 Any articles, effect and interpretation of this Agreement and the settlement of disputes arising from this Agreement or its performance shall be governed by the law of the People’s Republic of China. 2．責(zé)任范圍和委托項(xiàng)目 Responsibilities

7、and Commitments 2.1甲方責(zé)任范圍 Party A 1) 建立健全內(nèi)部控制，保證資產(chǎn)的完整性； To constitute integrated internal control system and ensure the integrality of account of company assets. 2) 做賬材料交接： Accounting documents handover: a) 向乙方提供合法、真實(shí)、準(zhǔn)確、完整的原始憑證和原始憑證相關(guān)單據(jù)，進(jìn)行分類(lèi)編號(hào)后交給乙方； To provide legal, true, exact and whole

8、original vouchers and related supporting documents to Party B which have been sorted and numbered. b) 負(fù)責(zé)原始憑證審核； To responsible for audit of its original vouchers. c) 對(duì)于乙方退回不符合會(huì)計(jì)制度規(guī)定要求的憑證應(yīng)當(dāng)及時(shí)予以更正，補(bǔ)充； To correct, replenish the accounting documents required when Part B return the unqualified vouche

9、r and related supporting documents timely. d) 妥善保管所有原始憑證、財(cái)務(wù)報(bào)表及經(jīng)稅務(wù)機(jī)關(guān)審核后的納稅申報(bào)表等資料。 To preserve all the original vouchers, finance statements and taxation sheets. e) 甲方定期與乙方提供的帳面數(shù)額核對(duì); 每月必須在當(dāng)月月底和乙方確定報(bào)稅事宜。（包括確認(rèn)：甲方向乙方告知的開(kāi)票金額，抵扣金額等事宜） To cross check the account balance provided by Part B, and confirm

10、the monthly tax filing issues. ( Including invoiced amount and deductions etc. ) 3) 配備專(zhuān)人負(fù)責(zé)日常貨幣的收支和管理并編制貨幣收支流水賬； To manage the daily income and expenses and make monetary income and expenditure account by appointed cashier. 4) 每月 3 號(hào)前(逢節(jié)假日提前)向乙方提供公司記賬所需資料； To provide all the required documents

11、to Party B for bookkeeping by the third date of the month. (The deadline will be advanced accordingly if the date is a national holiday.) 5) 積極配合乙方指派的工作人員的工作，由乙方人員驗(yàn)收所提供的相關(guān)資料； To fully cooperate with Party B’s appointed accountant; all the relevant documents should be checked and accepted by Party

12、B. 6) 按本協(xié)議的規(guī)定及時(shí)足額交納代理費(fèi)； To pay agent fee to Party B according to the time frame stated in this Agreement. 7) 按時(shí)足額繳存納稅款項(xiàng)； To pay tax according to the time frame stated by tax authority. 8) 如果甲方不能及時(shí)、完整、真實(shí)提供符合稅務(wù)要求的做賬資料造成的一切后果有甲方自行承擔(dān)。同時(shí)如果甲 方原因造成乙方超出日常的工作量，甲方將支付相應(yīng)的額外勞務(wù)報(bào)酬。 Management of Part A wil

13、l responsible for truth and completion of accounting and tax information. Part A shall bear all the responsibilities in providing unqualified documents or delaying providing required documents. Additional working hours caused by Part A will be charged accordingly. 2.2乙方責(zé)任范圍Party B 1) 指派財(cái)

14、務(wù)專(zhuān)業(yè)人員負(fù)責(zé)交接收取記賬所需財(cái)務(wù)資料； To collect and take back the required original vouchers for bookkeeping by Party B’s appointed accountant . 2) 復(fù)核甲方所提供原始憑證的合規(guī)性，并向甲方提供合法、合理性建議； To check Party B’s original vouchers and provide legitimate and suitable suggestion. 3) 根據(jù)甲方提供的原始憑證按照中華人民共和國(guó)財(cái)政部制定的《企業(yè)會(huì)計(jì)準(zhǔn)則》和《中華人民共和

15、國(guó)外商 投資企業(yè)會(huì)計(jì)制度》及其相關(guān)法律法規(guī)開(kāi)展代理記賬業(yè)務(wù)，編制記賬憑證、賬簿及會(huì)計(jì)報(bào)表，并合理保 證會(huì)計(jì)處理與原始憑證的一致性； To provide bookkeeping agency services according to & < The Foreign Investment Accounting Standards for Business Enterprises of P. R. China > have been promulgated by the Ministry o

16、f Finance of China and relevant laws and policies. To make accounting vouchers, accounting books and accounting statements to ensure the consistency of the accounting treatment and the original vouchers. 4) 在稅務(wù)機(jī)關(guān)規(guī)定期限內(nèi)及時(shí)完成各類(lèi)納稅申報(bào)表并在稅務(wù)機(jī)關(guān)指定的工作日前完成稅務(wù)申報(bào)工作； To prepare all the required tax sheets within s

17、tated term and report to tax authority according to tax authority’s requirement in time. 5) 在財(cái)政和稅務(wù)部門(mén)規(guī)定的期限內(nèi)編制和上交《企業(yè)年度會(huì)計(jì)報(bào)表》和《企業(yè)所得稅年度申報(bào)表》及其附表； To prepare and hand in the ,

China > etc. which have been assigned by financial and tax authorities within the stated term. 6) 年度終了，將甲方該年度的各類(lèi)賬簿、會(huì)計(jì)月報(bào)和稅務(wù)月報(bào)裝訂成冊(cè)退還甲方保管 At the end of the year, Party B will give back all the bound accounting books, accounting statements and tax sheets to Party A for filing. 7) 協(xié)

19、助甲方完成稅務(wù)機(jī)關(guān)檢查事宜； To assist Party A in finishing the tax inspection with the tax authority. 8) 協(xié)助甲方完成稅務(wù)機(jī)關(guān)檢查事宜； To assist Party A in finishing the tax inspection with the tax authority. 3．費(fèi)用及付費(fèi)方式 Professional Fees 1) 甲方應(yīng)每月支付代理費(fèi) 如果零銷(xiāo)售額的申報(bào)，會(huì)計(jì)憑證20張以?xún)?nèi)， 月服務(wù)費(fèi)人民幣 800 元（大寫(xiě)人民幣 捌佰元

20、 整），代理費(fèi)按季度收取，每季度 5 日之前支付下季度 的代理費(fèi)； If Party A report zero sales and the original accounting documents less than 20, Party A agrees to pay Party B RMB 800 /month for accounting and taxation agency services, it shall be paid by the first 5th day for the quarter. 有銷(xiāo)售的申報(bào)，會(huì)計(jì)憑證在200 張

21、以?xún)?nèi)，月服務(wù)費(fèi)人民幣 1500 元（大寫(xiě)人民幣 壹仟伍佰元 整），代理費(fèi)按季度收取，每季度 5 日之前支付下季度 的代理費(fèi)； If Party A report sales and the original accounting documents less than 200 , Party A agrees to pay Party B RMB 1500 /month for accounting and taxation agency services, it shall be paid by the first 5th day for

22、the quarter. 2） 如因甲方業(yè)務(wù)流量增加過(guò)多，連續(xù)兩個(gè)月超過(guò)核定的最高業(yè)務(wù)量120%，乙方將按照多出的工作量相應(yīng)收費(fèi)。. If the workload increased rapidly to more than 120% of the agreed workload for continuous two month, Part B will charges for additional working hours accordingly. 3）甲方如需乙方提供上門(mén)服務(wù)， 乙方按照每人每天 600  元收取額外費(fèi)用。 Part B c

23、harges 600 per person per day if on-site service needed. 4． 委托期限及終止 Period of Engagement and Termination 1) 本協(xié)議有效期自 2018 年 月 日至 年 月 日止, 合計(jì) 12 個(gè)月； This Agreement shall come into effect from to , total is months. The

24、relationship between Party A and Party B shall continue within the term of the Agreement. 2) 本協(xié)議簽訂后，任何一方如需終止本協(xié)議，必須提前30天以書(shū)面形式通知對(duì)方； After signed the Agreement, either party may terminate this Agreement by providing written notice ahead of 30 days. 3) 如甲方已經(jīng)向乙方支付費(fèi)用用于完成或部分完成任何委托項(xiàng)目后，需要終止本協(xié)議的執(zhí)行，乙方?jīng)]有義

25、 務(wù)將這些費(fèi)用歸還給甲方； Should Party A terminate this Agreement after making payment to Party B for completion or part completion of any of the entrusted items, Party B is under no obligation to return any of these payments to Party A. 4) 如甲方終止本協(xié)議的執(zhí)行，乙方有權(quán)要求甲方支付所有完成或部分完成的委托項(xiàng)目的政府規(guī)費(fèi)和代理費(fèi)； Party B has the right

26、 to request Party A to pay Party B for all governmental charges and its professional fees for those entrusted items fully or partly completed by Party B if Party A terminates this Agreement; 5) 任何由于乙方的錯(cuò)誤或疏忽致使不能完成任何委托項(xiàng)目，甲方不必按照條款3的規(guī)定進(jìn)一步向乙方支付費(fèi) 用，同時(shí)甲方原先支付的費(fèi)用應(yīng)該返還給甲方； In the event that Party B fai

27、ls to complete any of the entrusted items due to its own fault or negligence, Party A shall not be required to make any further payment to Party B as stipulated in Article 3 and previous payment made by Party A shall be returned to Party A accordingly. 6) 在代理過(guò)程中，如果由于中國(guó)政府相關(guān)部門(mén)改變法律或公布新的法規(guī)，致使委托項(xiàng)目辦理延遲或不

28、能完 成，乙方不承擔(dān)責(zé)任； Party B shall not be held liable if during the process of agency services, amendments to the law or new regulations are promulgated by the Chinese authorities, causing delay or non-completion of the items of entrustments laid out in Article 2.2. 7) 協(xié)議期將近屆滿(mǎn)時(shí)，如需續(xù)約，雙方應(yīng)于協(xié)議到期前30天內(nèi)，就甲方的實(shí)

29、際經(jīng)營(yíng)狀況及實(shí)際需要，適當(dāng) 調(diào)整委托服務(wù)項(xiàng)目和代理費(fèi)用，并簽訂新的協(xié)議。 While the expire date of this Agreement is approaching, if Party A needs to renew the engagement, both parties can negotiate and adjust entrusted items and agent fee based on Party A’s business status, and then sign a new Agreement in 30 days advance. 5．違約責(zé)任

30、 Breach liability 1) 任何由于違反條款2中所規(guī)定的責(zé)任和義務(wù)而造成的后果，由違約方承擔(dān)違約責(zé)任。 Any liabilities arising as result of breach of responsibility described in Article 2, should be owned by the party responsible for the breach. 2) 乙方并不承擔(dān)以上免費(fèi)服務(wù)事項(xiàng)的任何責(zé)任。 Party B shall not be responsible for any consequential liabilitie

31、s for its free services stated in Article 2.3 in case Party A acted contrary to the advice given by Party B. 6．保密條款 Confidentiality 乙方對(duì)在代理過(guò)程中知悉的甲方的業(yè)務(wù)情況、公司狀況及商業(yè)秘密負(fù)有保密責(zé)任。除法律另有規(guī)定者外，未經(jīng)甲方書(shū)面同意，乙方不得將甲方提供的資料泄露給第三方。如本協(xié)議因故終止，本條款一直有效。 Party B should keep confidential all of Party A’s business s

32、tatus, company information and business secret which have been known during the process of agent services. Party B can not leak Party A’s business secret to the third party without Party A’s written approval, unless otherwise stated by Chinese laws. This article is always effective if this Agreement

33、 is terminated because of some reasons. 7．爭(zhēng)議 Dispute Resolution 因本協(xié)議引發(fā)的任何爭(zhēng)議，可以提交上海市仲裁委員會(huì)，按該會(huì)的仲裁程序進(jìn)行仲裁。 Any unresolved disputes arising from or incidental to this Agreement shall be submitted to the Shanghai Municipal Arbitration Commission for arbitration in accordance with its rules of procedu

34、re. 8．協(xié)議真實(shí)性 Authenticity of Agreement 本協(xié)議一式兩份，甲、乙雙方各執(zhí)一份，具有同等法律效力。 This Agreement contains two original copies; these copies are held by both parties. Both the signed copies of this Agreement are legally bounding and equally authentic.
