Maintenance Installments 付款方式 5.1 The maintenance fee mentioned above should be paid 2 times per year in RMB，and the latest payment date is / /and / /. 上述保養(yǎng)費(fèi)用按每年2次分期預(yù)付，每次金額為人民幣，每次付款日期為 年 月日與年 月 日。 5.2 In case of Party A fail to pay the maintenance fee in time, Party A shall pay off all the maintenance fee and 2% of this sum of as penalty to Party B for the delay of 2 week after the payment time provided by this contract. 如甲方未能按付款期限向乙方支付維修保養(yǎng)費(fèi)用，每超過(guò)合同所規(guī)定的付款期限二周，甲方除付清應(yīng)付維修保養(yǎng)費(fèi)外，還應(yīng)向乙方支付當(dāng)期應(yīng)付維修保養(yǎng)費(fèi)總額的2%。 Party B’s Bank Account:乙方銀行帳戶： 6.Additional Maintenance Requested by Party A 甲方要求的額外維保 Party B shall not, unless specifically requested in writing by, and at the expense of, Party A: 乙方將根據(jù)甲方書(shū)面要求并支付費(fèi)用的情況下執(zhí)行以下維保： 6.1 Carry out any statutory safety tests (other than as specified in Clause if hereof), increase new attachments, carry out structural or other alterations, or make any replacements with parts of a different design which, after the commencement of this Agreement, become necessary as a result of directions from statutory authorities or Party As insurers or as the result of new or amending legislation; 自合同生效日起，法定權(quán)威機(jī)構(gòu)，或甲方保險(xiǎn)公司，或新的或修改過(guò)的法律提出，應(yīng)執(zhí)行的法定安全檢測(cè)(除了此合同條款中明確注明)，增裝新配件，修改結(jié)構(gòu)或進(jìn)行任何變動(dòng)； 6.2 Carry out repairs, renewals or replacements necessary by any cause beyond the control of Party B except ordinary wear and tear; 除了正常磨損和損壞，執(zhí)行超出乙方控制范圍所致的磨損和損壞的修理，更新或替換； 6.3 Provided that, where Party A requests work covered by this Agreement to be carried out outside *normal working hours, (with the exception of additional agreement) according to the local related regulation, Party B shall differentiate between ordinary and overtime rates and further provided that, where Party A requests Party B to undertake any work which is excluded from this Agreement, Party B shall not commence work until the parties hereto mutually agree to the cost of such work and the time and method of payment. 如果甲方要求此合同中規(guī)定的保養(yǎng)工作在非*正常工作時(shí)完成（另有約定除外），乙方按當(dāng)?shù)叵嚓P(guān)法規(guī)規(guī)定對(duì)非正常工作時(shí)的工作收取不同費(fèi)用。而且如果甲方要求的工作不屬于本合同范圍，則乙方只有在雙方確定工作成本，工作時(shí)間和費(fèi)用支付方式后執(zhí)行工作。 *Normal Working Hours:9:00 a.m. - 6:00 p.m., Monday - Friday. *正常工作時(shí)間：早晨9：00 到下午6：00，周一至周五 6.4Any equipment damaged by reasons of nature disaster or force majeure. 因自然災(zāi)害或不可抗力而造成的設(shè)備的損壞。 7.Associated Equipment not Covered by Contract 合同中不涉及的有關(guān)設(shè)備 Party B shall not be responsible for the maintenance of: 乙方不負(fù)責(zé)以下設(shè)備保養(yǎng)工作： 7.1 Non-elevator parts and equipment, including: power mains that offered by customer, circuitbreaker, structural of lift well, machine room ventilation equipment, water or sump pump equipment for lift pits 非電梯本身的零部件及設(shè)備，包括業(yè)主提供的主電源開(kāi)關(guān)，斷路器，井道的土建結(jié)構(gòu)，機(jī)房通風(fēng)設(shè)備，用于地坑的抽水設(shè)備或油回收泵 7.2 Lift equipment surface materials, car lighting, operating panel, call box, indicator panel and telephone, communication, audio, security equipment that offered by other provider. 電梯設(shè)備表面裝飾材料、轎內(nèi)照明以及其他供應(yīng)商提供的電話、通訊設(shè)備、錄音和保安設(shè)備 Escalator products are not including: balustrades, lighting fixture, skirtings, inside and outside cover plate and entrance tread cleanness. 對(duì)于扶梯產(chǎn)品不包括扶梯扶手及照明燈具、裙板、內(nèi)外蓋板和扶梯入口踏板的清潔。 Hydraulic lift is not including: Caissons, cylinders and buried piping change. 對(duì)于液壓電梯也不包括：液壓梯沉箱，油缸和預(yù)埋管的更換。 8.Party A not to Repair Equipment 甲方不得修理設(shè)備 Without Party B consent, such consent not to be unreasonably withheld ,party A shall not direct or permit any third party to repair, alteration, replacement or any interference with any of the equipment,. 除非乙方違約，甲方不得指揮或允許任何第三方修理，改造，更換或任何影響設(shè)備的行為。 Without Party B’s permission, Party B’s spare parts are not able to be transferred or resold to a third Party by Party A. 未經(jīng)乙方允許，甲方不得將乙方的備件轉(zhuǎn)交或轉(zhuǎn)賣給第三方。 9.Access to Premises and Equipment 工地和設(shè)備的通勤 Party A shall permit Party B, its employees and contractors access to the equipment and the landings, lobbies and motor rooms associated therewith for the fulfillment of Party B obligations hereunder, provided that persons entering the Premises pursuant to this Clause for the purposes of this Agreement shall comply with any reasonable directions of Party A or any authorised officer of Party A relating to access to the Premises, or to any part thereof. Party A shall under a duty to protect the equipment and the necessary facilities, and not allow any other person to enter the machine rooms and shaft. 甲方應(yīng)允許乙方人員為完成合同中應(yīng)盡的義務(wù)進(jìn)出設(shè)備，樓層，大廳和機(jī)房。遵守此條款以執(zhí)行此合同為目的的進(jìn)出工地者，應(yīng)遵守甲方或甲方授權(quán)機(jī)關(guān)制定的合理的進(jìn)出條例。甲方有責(zé)任保護(hù)設(shè)備和必要的設(shè)施，不允許無(wú)關(guān)人士進(jìn)入機(jī)房和井道。 10. Notification of Accidents 事故通報(bào) Both Party A and Party B have responsibility to notify the other party when either party is aware of the death or injury to any person or damage to property arising from the use of the equipment. 甲方和乙方雙方中任何一方如意識(shí)到使用電梯可能引起人員傷亡和財(cái)產(chǎn)損失，則雙方都有責(zé)任將情況告知對(duì)方。 11.Liability of default by Party B 乙方違約責(zé)任 11.1If Party B is in default under any of the provisions of this Agreement, Party A may give notice in writing to Party B at the address hereinbefore stated specifying the nature of the default on the part of Party B. 如果乙方?jīng)]有按照此合同的約定履行相關(guān)義務(wù)，甲方可以按照此合同約定的地址發(fā)出書(shū)面通知，告知乙方其違約情況。 If Party B fails to rectify the default within ninety (90) days of receipt of such notice, then Party A may terminate this Agreement forthwith. 如果乙方未能在收到書(shū)面通知之日起90天內(nèi)更正其違約行為，則甲方可隨即終止此合同。 11.2 Party B will be responsible for any breach of or failure accord with relative rule of law, except force majeure 乙方將按國(guó)家有關(guān)的法律或法規(guī)就其違約承擔(dān)責(zé)任，不可抗力事故除外。 11.3 Party B will not be responsible for any damnify bringed by equipment that not belong to . 乙方維保范圍外的設(shè)備而引起的任何損失以及非乙方原因而引起的任何損失，乙方不承擔(dān)責(zé)任。 12. Termination Through Default of Party A 甲方違約而導(dǎo)致的合同終止 12.1 Payment to Party B shall be made in accordance with the conditions noted on the contract summary. If Party A doesnt pay the money timely Party B has the right to suspend or terminate their maintenance service according to the default status until such payment has been settled. Party B will not be responsible for any losses rising from it and still has the right to receive the fee which has happened of the maintenance service and demand Party A to bear the liability for the breach of contract. 甲方應(yīng)按照合同約定向乙方支付保養(yǎng)費(fèi)用。如果甲方未能按時(shí)付款，則乙方有權(quán)視甲方違約情況中止或終止保養(yǎng)工作，直到甲方支付相應(yīng)費(fèi)用后再繼續(xù)保養(yǎng)工作。乙方對(duì)因此造成的損失不承擔(dān)任何責(zé)任，并保留追收已發(fā)生的保養(yǎng)維修費(fèi)及追究甲方違約責(zé)任的權(quán)利。 12.2 Notwithstanding anything hereinbefore contained,including:① Party A makes default in the payment of any of the payments due on its part to be made hereunder as and when the same fall due, ②commits an act of bankruptcy, ③ being a Company, if an order is made or resolution is passed for its winding-up, whether compulsory or voluntary, ④ if a receiver or official manager be appointed, or if Party A is otherwise in default of this Agreement and such default has not been rectified within 90 days of receipt of any notice to rectify from Party B, at the expiry of ninety (90) days, Party B may, at any time thereafter by notice in writing to Party A at his address hereinbefore stated, forthwith terminate this Agreement, and Party B liabilities and obligations hereunder shall immediately thereupon cease. 如果甲方未能按照本合同的約定支付到期應(yīng)付款項(xiàng)，包括以下情況：①甲方作出破產(chǎn)行為，②甲方和債權(quán)人達(dá)成破產(chǎn)和解協(xié)議或其它類似協(xié)議，③甲方自行形成破產(chǎn)決議、或法院裁定甲方破產(chǎn)，④甲方聘請(qǐng)、或相關(guān)部門指定破產(chǎn)財(cái)產(chǎn)管理人；如果甲方有其他違約行為，并在收到乙方發(fā)出的催告其更正的書(shū)面通知之日起90天內(nèi)沒(méi)有更正，則乙方于該90天期限屆滿后，可隨時(shí)按照此合同約定的甲方地址書(shū)面通知甲方，并立即終止此合同，同時(shí)乙方的責(zé)任和義務(wù)也相應(yīng)終止。 12.3 In the Event of Party A removing, replacing or discontinuing, permanently the use of any one of the lifts or escalators, or in the event of any such lift or escalator becoming inoperative due to fire, explosion or other accidental cause beyond Party A’s control, Party A may partly terminate defected units ninety (90) days from giving Party B written notice. 如果甲方拆除、更換、或不再繼續(xù)使用電梯、扶梯，或者電梯、扶梯因火災(zāi)、爆炸或其他超出甲方控制范圍的意外事故無(wú)法繼續(xù)使用，則甲方可在向乙方發(fā)出書(shū)面通知之日起90天后終止此合同中部分受之影響的設(shè)備合同。 13.Termination 終止合同 13.1Termination of the provisions hereof by either party pursuant to a right of termination hereby conferred shall not affect the rights and obligations of either party in respect of matters occurring prior to such termination. 任一方根據(jù)合同條款行使的合同解除權(quán)，并不影響任何一方在合同終止前所應(yīng)享有的權(quán)利和應(yīng)承擔(dān)的義務(wù)。 13.2The termination of this agreement, in accordance with the provision hereof, shall notprevent either party from exercising such other rights of availing themselves of such other remedies as they may have at law against the other party. 任一方根據(jù)合同條款行使合同解除權(quán)，并不妨礙一方通過(guò)法定途徑向另一方行使相應(yīng)法律權(quán)利。 14. Disputes 爭(zhēng)議 This Agreement shall be subject to and construed in accordance with the law of People’ s Republic of China, and any difference or dispute under this Agreement, or any claim in any way arising hereunder, shall be settled through negotiation. In the event that an agreement could not be reached, the dispute shall be submitted to the arbitration committee in accordance with its rules and regulations. The arbitration award shall be final and binding on both parties. 本合同的適用和解釋皆依中華人民共和國(guó)的法律。因本合同引起的任何分歧和爭(zhēng)議，或基于本合同而提起的任何索賠或要求皆應(yīng)通過(guò)協(xié)商解決。若雙方無(wú)法達(dá)成一致，則爭(zhēng)議應(yīng)訴諸仲裁機(jī)構(gòu)，由該機(jī)構(gòu)依據(jù)其仲裁規(guī)則進(jìn)行裁決。該裁決為最終裁決，對(duì)雙方均有約束力。 15. Contract Version 合同版本 This contract is written in both Chinese and English. Should there be any deviation in its meaning, the Chinese version shall remain the basis for interpretation.
