第一條貨物名稱、規(guī)格、包裝：， 出口貿(mào)易合同[智庫專題]。 第二條貨物數(shù)量： 第三條貨物單價(jià)：。 第四條買賣貨物總值： 第五條貨物裝運(yùn)期限： 第六條貨物裝運(yùn)口岸：。 第七條目的口岸： 第八條貨物保險(xiǎn)：由甲方按fa票金額投保。 第九條付款條件：乙方應(yīng)通過買賣雙方同意的銀行，開立以甲方為受益的人，不可撤銷的、可轉(zhuǎn)讓和可分割的、允許分批裝運(yùn)和轉(zhuǎn)船的信用證。該信用證憑裝運(yùn)單據(jù)在中國的中國銀行見單即付。 該信用證必須在前開出。 信用證有效期為裝船后天在中國到期。 第十條單據(jù)：甲方應(yīng)向議付銀行提供已裝船清潔提單、fa票，裝箱單/重量單。第十一條裝運(yùn)條件： ①載運(yùn)船只由甲方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船， ②甲方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知乙方。第十二條品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，乙方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險(xiǎn)公司及/或船公司的責(zé)任外，乙方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向甲方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。甲方應(yīng)于收到異議后30天內(nèi)答復(fù)乙方。 第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負(fù)責(zé)任。但甲方必須立即以電報(bào)通知乙方。如乙方提出要求，甲方應(yīng)以掛號(hào)函向乙方提供由中國國際貿(mào)易委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭執(zhí)，應(yīng)由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國家根據(jù)被告國家仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等的約束力，仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有約定外，均由敗訴一方負(fù)擔(dān)。 ＿＿＿＿＿＿＿＿ １１．裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、品名，已裝載數(shù)量、發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等 shipping advice: the sellers shall immediately，upon the pletion of the loading of the goods, advise the buyers of the contrant no, name s of modity, loaded quantity, invoice values, gross weight, names of vessel and chipment date by tlx/fax. １２．檢驗(yàn)與索賠 inspection and claims: ①賣方在發(fā)貨前由＿＿＿＿＿＿＿檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。 the buyers shall bave the qulities, specifications, quatities of ths goods carefully inspected by the ＿＿＿＿＿＿ inspection authority, which shall issue inspection certificate before shipment. ②貨物到達(dá)目的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的＿＿＿＿＿＿天內(nèi)憑＿＿＿＿＿＿檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。 the buyers have right to have the goods inspected by the local modity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged/short/their specifications and quantities not in pliance with that specified in the contract, thebuyers shall lodge claims against the sellers based on the inspection certificate issued by the modity inspection authority within ＿＿＿ days after the goods arrivalat the destination. ③如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起＿＿＿＿＿天內(nèi)提出；凡屬數(shù)量異議須于貨到目的口岸之日起＿＿＿＿＿＿天內(nèi)提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。 the claims, if any regarding office. １３．人力不可抗拒：如果人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。 force majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contractdue to force majeure. but the sellers shall advise the buyers on time of such occurrence. １４．爭議之解決方式： disputes settlement: 任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國。仲裁裁決是終局的，對(duì)雙方均有約束力。 all disputes arising out of the contractor concerning the contract, shall be submitted to the china international economic and trade arbitration mission for arbitrationin accordance with its rules of arbitrationin china. the arbitration shall take placein china. the arbitral awardis finaland binding upon both parties. １５．法律適用： law application: 本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售合同公約》。 it will be governed by the law of the peoples republic of china under the circumstances that the contract is signed or the goods while the disputes arising are in the peoples republic of china or the deffendant is chinese legal person, otherwise it is governed by united nations convention on contract for the international sale of goods. 本合同使用的ｆｏｂ、ｃｆｒ、ｃｉｆ、ｄｄｕ術(shù)語系根據(jù)國際商會(huì)《incoterms 1990》。
